These Terms of Service ("Terms") govern your access to and use of HaaConnect, a WhatsApp Business API platform operated by HaaSystems LLC ("Company", "we", "us", or "our"). By accessing or using HaaConnect, you agree to be bound by these Terms.
HaaConnect provides a multi-tenant infrastructure platform that enables Applications to offer WhatsApp Business messaging to their Tenants. Core services include:

You agree to use HaaConnect only for lawful purposes and in accordance with these Terms. You must NOT:
HaaConnect reserves the right to suspend or terminate access for any violation of these terms without notice.
HaaConnect operates on Meta's WhatsApp Business Platform. You agree to comply with all applicable Meta policies at all times, including:
We may suspend your access if Meta restricts or revokes our platform access due to your actions or the actions of your Tenants.
You are responsible for maintaining the confidentiality of your API keys. You must notify us immediately at support@haaconnect.com if you suspect unauthorized use of your API key. We are not liable for any loss resulting from unauthorized use of your credentials.
Pricing for HaaConnect services is agreed upon separately. Meta's per-conversation charges are passed through at cost without markup. HaaConnect's platform fees are separate and outlined in your service agreement. We reserve the right to update pricing with 30 days' notice.
Your use of HaaConnect is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring your use of HaaConnect complies with applicable data protection laws in your jurisdiction.
HaaConnect, its logo, and all related technology are the property of HaaSystems LLC. Nothing in these Terms grants you any rights to HaaSystems LLC's intellectual property except the limited right to use the HaaConnect API as described herein.
HaaConnect is provided "as is" without warranties of any kind. We do not guarantee:
Delivery of WhatsApp messages is ultimately subject to Meta's infrastructure and policies, which are outside our control.
To the maximum extent permitted by law, HaaSystems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of HaaConnect. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.
You agree to indemnify and hold HaaSystems LLC harmless from any claims, damages, or expenses arising from your use of HaaConnect, your violation of these Terms, or your violation of any Meta policy or applicable law.
Either party may terminate the service agreement with 30 days' written notice. HaaSystems LLC may terminate or suspend access immediately for violations of these Terms or Meta's policies. Upon termination, your API keys will be revoked and Tenant data will be deleted within 30 days.
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of HaaConnect after the effective date constitutes acceptance of the updated Terms.
